SECTION 18 OF THE PAPAYA GAMING TERMS OF USE (“PAPAYA GENERAL TERMS”) CONTAINS A BINDING ARBITRATION AND WAIVER OF CLASS ACTION CLAUSE, TO WHICH YOU ARE AGREEING AS PART OF THESE TERMS. PLEASE REVIEW THAT CLAUSE CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.
The followings are the terms and conditions of the Papaya Gaming World Solitaire Championship (the “WSC Terms” and “WSC Tournament", respectively), which is sponsored by Papaya Gaming Ltd. (“Papaya”, “us” or “we” or “our”) and will be active on Papaya’s Solitaire Cash gaming app (“Game”). Participation in the WSC Tournament shall be subject to the provisions below, the Papaya General Terms, and the Privacy Policy (“Privacy Policy”).
Capitalized terms used but not defined herein shall have the meaning given to them under the Papaya General Terms.

The first stage (the “Qualification Tournaments,” described below) shall commence on November 3, 2025, at 1:00 PM UTC and shall conclude on November 23, 2025, at 1:00 AM UTC; and the second stage (the “Miami Event,” described below), shall be held between February 20, 2026 and February 22, 2026 (together with the first stage, the “Tournament Period”).
You agree that in order to participate in the WSC Tournament (including, without limitation, in order to win any reward), you will fully comply with all applicable laws, regulations, statutes, ordinances and provisions, including, without limitation, these WSC Terms, Papaya General Terms and the Privacy Policy.

If you are unable to provide satisfactory documents, we may exclude you from the WSC Tournament, and you may forfeit any privileges or awards that have been allocated to you without compensation of any kind. You hereby irrevocably waive any claims or rights in connection with any such exclusion or forfeiture.
If you do not meet the eligibility requirements above, your entry to the WSC Tournament shall be void. You may not use multiple email addresses, accounts, identities or any other method in order to participate in the WSC Tournament more than once. You may not register on behalf of another person.
How to Participate in the WSC Tournament; Prizes and Selection of Winners
The WSC Tournament is comprised of two distinct stages, with the first stage consisting of three rounds, and the second stage (“Miami Event”) hosted in-person in Miami, Florida. Participants must successfully progress through all three rounds of the Qualification Tournaments by achieving the required qualifying score to advance to the Miami Event.
First Stage – “Qualification Tournaments”
6.1. The Qualification Tournaments are divided into three rounds that will take place between November 3, 2025 and November 23, 2025 (“Qualification Tournament Period”). The Qualification Tournaments will be conducted online via the Game. To enter each round of the Qualification Tournament, a player will need to use one or more designated tickets for the Qualification Tournaments (an “Qualifier Ticket(s)”) or pay an entry fee, as specified within the Game. Qualifier Tickets will be awarded via participation in in-Game challenges and events, as well as social media activities that will be published by Papaya.
In each round of the Qualification Tournaments, each player will attempt to achieve a score or rank that qualifies for advancement to the next round. Only qualifying players who have achieved or surpassed the designated score or rank will continue to the next round. Upon completing a round, each player may, depending on the round, have the option to attempt the round again to achieve a higher score (or a higher rank), in exchange for an additional Qualification Ticket (or Qualification Tickets), or by paying an additional entry fee, regardless of whether the score(s) that the player previously achieved would qualify for advancement to the next round. The availability and number of times a player may attempt each round will be specified within the Game.
Qualifier Tickets expire at the end of each week, as specified within the Game. Expired Qualifier Tickets are automatically removed from the player’s personal ticket counter.
The First, Second, and Third Rounds will take place each day during the Qualification Tournament Period.
“First Round”:
How to Advance: Only players who achieve a score above the designated score threshold by the end of the First Round, as shown in the in-Game First Round pop-up, will be eligible to proceed to the Second Round.
Prizes: Prizes will be distributed as specified within the Game.
“Second Round”:
How to Advance: Only players who are ranked at the top of the leaderboard at the end of the Second Round, as specified in the in-Game Second-Round pop-up, will be eligible to receive prizes and proceed to the Third Round.
Prizes: Prizes will be distributed as specified within the Game.
“Third Round”:
How to Advance: Only players who are ranked at the top of the leaderboard, as specified in the in-Game Third Round pop-up, will be eligible to proceed to the next stage by receiving a ticket to the Miami Event (“Miami Ticket”), which is described in greater detail below. A total of three hundred (300) Miami Tickets will be distributed during the Third Round; Papaya will award between ten (10) and thirty (30) Miami Tickets during the Third Round of each daily session. Each player can be awarded only one (1) Miami Ticket to the Miami Event. Upon receipt of a Miami Ticket, the player shall be deemed ineligible to obtain any additional tickets to the Miami Event.
6.2. In addition to the advancement described above, each round of the Qualification Tournaments may include prizes for players who achieve certain scores or certain ranks, which will be described within the Game prior to the start of the time period for the round.
6.3. To participate in the Qualification Tournaments, players must use the most recent, officially released version of the Game, to ensure proper functionality and gameplay experience. Certain features or mechanics may not operate correctly on earlier versions of the Game. Papaya will not be liable for any complaints, claims, or technical issues arising from using an outdated version of the Game; in the event of a technical issue or failure arising from any attempt to participate in the Qualification Tournaments using an outdated version of the Game, entry fees paid or Qualification Tickets used for that attempt will not be restored to the player.
6.4. Players qualifying for the Miami Event may be subject to additional verification, onboarding, or administrative requirements, as determined by Papaya at its sole discretion, in order to confirm eligibility, ensure the integrity of the WSC Tournament, finalize event logistics, and ensure compliance with applicable laws and Papaya policies. Such requirements may include, without limitation, participation in a live play demo, as part of which you will participate in a video call and share a live feed of the device with which you play the Game, as you are playing the Game; during the demo, a Papaya representative will watch your gameplay to ensure your level of play and the integrity of the WSC Tournament. We reserve the right to disqualify you from the Miami Event if you decline to participate in this demo, or we determine, in our sole discretion, that your play during the demo session is not commensurate with your performance during the Qualification Tournaments. Qualifying players failing to satisfy these requirements within the timeframes specified by Papaya may not be eligible to participate in the Miami Event and win any prizes.
Second Stage – Miami Event:
6.5. The Miami Event will take place between February 20, 2026 and February 22, 2026 in the Temple House in Miami, Florida, US. For logistical purposes, players advancing to the Miami Event may be required to arrive on or around February 20, 2026, and certain event-related activities may extend through February 22, 2026. The Miami Event will be limited to a maximum of four hundred (400) participants. For additional details governing participation in the Miami Event, please refer to the Miami Event Terms, which form an integral part of these Terms and apply only to players who won a Miami Ticket. Further rules will be announced by Papaya to the qualifying players at a later stage.
6.6. Players advancing to the Miami Event will be required to be physically present at the venue to participate. For each advancing player, Papaya will cover round-trip, coach class domestic or international air transportation from a major commercial airport near the player’s home to Miami, ground transportation to and from the event venue, accommodation for at least two (2) nights during the Miami Event at the Fontainebleau Miami Beach, and a total of six (6) meals during the stay. If an advancing player resides within one hundred (100) miles of Miami, Florida, Papaya may make arrangements for the player to travel to Miami via an alternative form of transportation, in lieu of air transportation, which Papaya will select at its discretion. The type, standard, and location of the accommodation will be determined solely by Papaya. The trip does not include travel insurance, expenses for any accompanying guest or companion, personal expenses, transportation between the player’s home and the departure airport (or from the arrival airport back home), or any other cost or expense not enumerated in this Section 6.6. All such costs are the sole responsibility of the player. Additionally, any costs incurred by the player for extending their stay beyond the dates of the Miami Event will not be borne by Papaya and will be the sole responsibility of the player.
6.7. Players qualifying to the Miami Event who reside outside the United States shall have a valid passport for the duration of the trip, with all necessary travel documents required for entry into United States. You agree that, if you qualify for the Miami Event and receive a Miami Ticket, you bear sole responsibility for ensuring that you obtain all necessary governmental authorizations, including visas and other travel authorizations, to travel to and enter the United States, and that Papaya bears no such responsibility. You further acknowledge and agree that, if you cannot obtain the necessary visas or other travel authorizations to attend the Miami Event, that Papaya may, in its sole discretion, disqualify you from participation in the Miami Event (resulting in forfeiture of the Miami Ticket), and that your inability to obtain the necessary travel authorizations is not a valid basis for a refund of any entry fees paid for the Qualification Tournaments, compensation for the value of the Miami Ticket and/or Miami Event, or any other costs that you may have incurred as a result of your participation in the WSC Tournament.
6.8. Players who obtain Miami Tickets will be required, in connection with their participation in the Miami Event, to execute and return an affidavit of eligibility, waiver / release of liability, and, except where prohibited, a publicity release (collectively, “Affidavit”) within three (3) days of receiving notice from Papaya. Players who fail to execute and return the Affidavit within the designated timeframe may be disqualified from participation in the Miami Event (resulting in forfeiture of the Miami Ticket); such disqualification will not be a valid basis for a refund of any entry fees paid for the Qualification Tournaments, compensation for the value of the Miami Ticket and/or Miami Event, or any other costs that you may have incurred as a result of your participation in the WSC Tournament.
6.9. Total prizes for the Miami Event will be $300,000, with the first place prize of $150,000. More detailed prize distribution will be published to the participants of the Miami Event at a later date.
Additional Methods to Obtain Tickets to the Miami Event
In addition to the methods for obtaining a Miami Ticket specified above, players may obtain a Miami Ticket through one or more of the following methods, which may be made available at any time during the Tournament Period:
7.1. “In-Game Challenge.” The In-Game Challenge is a separate tournament from the Qualification Tournaments, which can be accessed through the lobby of the Game. To qualify for a Miami Ticket, players must complete a skill-based challenge as specified within the Game.
7.2. “Community Challenges.” On our official Facebook pages (“Papaya Solitaire Cash” “Papaya Solitaire Cash: Card Trading Official Group” and “Solitaire Cash Fam”) and in the designated VIP Facebook groups or via email, we will publish social media challenges in which you can engage for the opportunity to win a Miami Ticket, including but not limited to sharing a picture or video, or posting a comment. The winner of a Miami Ticket will be selected by a Papaya representative according to a criteria detailed in the Community Challenge, on the date and time identified in each community challenge.
7.3. In the event that a player who has obtained a Miami Ticket is disqualified, is unwilling or unable to attend the Miami Event, or does not respond to Papaya’s requests for information and/or documentation in connection with the Miami Event, or if there is space available in the Miami Event, Papaya, at its sole discretion and at any time during the Tournament Period, may use In-Game Challenges, Community Challenges, other means of distribution based on social media or activity, or discretionary invitations in the Game, to award the Miami Ticket to another player.
7.4. In order to verify your account in Papaya’s records and facilitate the delivery of the ticket to the Miami Event, we will contact those selected to obtain Miami Tickets as part of Community Challenges via private message to their Facebook account, or to tag the selectees in a comment under the original post related to the Community Challenge. Those selected to receive Miami Tickets through the Community Challenges must respond by providing their username and phone number associated with their Papaya’s account. Failure to respond within the specified timeframe will result in forfeiture of the Miami Ticket, and we will be unable to provide the prize, and you shall not be entitled to refund of any entry fees paid for the Qualification Tournaments, compensation for the value of the Miami Ticket and/or Miami Event, or any other costs that you may have incurred as a result of your participation in the WSC Tournament.
Prize Distribution and Winners' Responsibilities
You agree that no prize or prizes exceeding six hundred (600) U.S. dollars in the aggregate can be paid to you as part of the Miami Event, which includes the transportation and accommodation described in Section 6.6, unless and until you provide us with your full legal name, your current address, your taxpayer identification number (if applicable), your Social Security Number (if applicable), W-9 / W-8BEN forms, and any documentation that may be required in fulfilling tax reporting obligations, including, but not limited to, issuance of a Form 1099-MISC for U.S. residents from eligible states. You must provide us with this information and documentation within seven (7) days of our requesting it; if you fail to comply with our request, we reserve the right to disqualify you from the WSC Tournament, which will result in your prize(s) being forfeited. You also agree that we may provide the information and documentation you give us, pursuant to this section, to the appropriate tax authorities. If we determine, in our sole discretion, that the information and documentation you provided to us is incomplete, false, or inaccurate, we will continue to withhold the distribution of your prize or prizes until you have provided us with the necessary information and/or documentation to our satisfaction. If you fail to respond to our requests for this additional information and/or documentation, we reserve the right to disqualify you from the WSC Tournament, which will result in your prize(s) being forfeited with no compensation. In addition, you agree that you are solely responsible for reporting and paying any and all applicable taxes related to the prizes and paying any expenses associated therewith which are not specifically provided for under the WSC Terms. Prizes may be subject to withholding tax or any other applicable taxes, as required by applicable law.
By participating in the WSC Tournament, you allow Papaya to contact you through any communication channel, including but not limited to the in-Game inbox, email or phone, for the purpose of administering the WSC Tournament, awarding prizes, and collecting any necessary information and documentation as part of the WSC Tournament.
You may be required to participate in publicity, including events taking place during and after the Tournament Period through the Miami Event and thereafter. By accepting any prize (including a Miami Ticket), you consent to a representative of Papaya contacting you or visiting you at your residence to create PR materials with you. This may include photographing, filming, or otherwise recording you at your residence as part of promotional content. You also agree that Papaya may publish certain details about your win, including your name, username, photo, state and/or country of residence, prize, recorded materials for PR and promotional purposes related to the WSC Tournament or Papaya’s legitimate interests, as well as any photographs, videos, or other recordings captured in connection with the prize. All personal data processing will be conducted in accordance with the Privacy Policy.
If you qualify for the Miami Event (and for a Miami Ticket), we will make three (3) attempts to contact you within three (3) business days from the end of the Qualification Tournaments to arrange for delivery of the Miami Ticket. If we are unable to reach you within the specified time frame, or if you fail to sign and return the Affidavit or otherwise disqualified or not comply with these WSC Terms or Papaya General Terms, you will not be eligible to participate in the Miami Event, resulting in forfeiture of the Miami Ticket, with no entitlement to a refund of any entry fees paid for the Qualification Tournaments, compensation for the value of the Miami Ticket and/or Miami Event, or any other costs that you may have incurred as a result of your participation in the WSC Tournament.
Additional General Terms
The description of the WSC Tournament may be available within the Game or via an external document (including, but not limited to, the WSC landing page), which can be accessed during the Tournament Period through a pop-up presented to you when entering the WSC Tournament or can also be accessed from the lobby page in the Game.
Entries that are determined to be fraudulent will be considered void, and the person making such entry may be barred from participation in the WSC Tournament and, in Papaya’s sole discretion on a case-by-case basis, banned from participation in any future Papaya Services (as defined under Papaya General Terms).
Papaya reserves the right, at its sole discretion, to disqualify any individual from any part of the WSC Tournament who is found to be (i) acting in violation of these WSC Terms or Papaya General Terms; (ii) engaging in unsportsmanlike, disruptive or abusive behavior intended to disrupt, interfere with, or undermine the legitimate and fair operation of the WSC Tournament; (iii) annoy, abuse, threaten or harass any other person; or (iv) engaging in any form of cheating, fraud, deceit, dishonesty, or other misconduct. If any such behavior is discovered before a prize has been awarded, Papaya reserves the right to withhold and forfeit the prize in its entirety. If discovered after a prize has been awarded, Papaya reserves the right to revoke the prize and require the participant to return the prize (or provide equivalent compensation) to us immediately upon receipt of our demand to do so.
Any requests for participation that do not comply with the foregoing may be disqualified or void at our sole discretion. Papaya shall not be liable for any problems that occur during the entry process, including without limitation, late, incomplete, delayed, undelivered, or misdirected entries, and shall not have any obligation to advise you of an incomplete, invalid, or undeliverable submission. No other form or method for submitting an entry will be considered, unless otherwise set forth in the specific WSC Tournament description.
The choice of winners is final and binding, unless stated otherwise in these WSC Terms.
The Miami Tickets and Qualifier Tickets are Virtual Items and personal to the players who receive them; players who obtain Miami Tickets and Qualifier Tickets cannot reallocate or otherwise transfer them to other individuals. Any attempt to transfer a Miami Ticket or a Qualifier Ticket to another individual will result in either the Miami or Qualifier Ticket being voided and invalid for participation in the relevant stage of the WSC Tournament.
Unless prohibited by applicable law, Papaya reserves the right to: (i) modify, alter, or change the WSC Terms, regulations, and prize amounts of the WSC Tournament; (ii) modify, alter, change or cancel the WSC Tournament, or any part thereof, at any time in its sole discretion, with or without prior notice. Notwithstanding the above, Papaya will make reasonable efforts (to the extent possible) to notify you of any changes to the WSC Tournament or the WSC Terms prior to the beginning of the WSC Tournament. You acknowledge that you shall be responsible for staying up to date with any and all changes made to the WSC Terms or WSC Tournament. In the event of modification, your continued participation in the WSC Tournament constitutes acceptance of the modified WSC Tournament or WSC Terms.
It is your sole responsibility to notify us in writing if you changed your contact details during the Tournament Period.
By participating in the WSC Tournament, you hereby represent and warrant that you have, and you agree to grant Papaya, all rights necessary to expressly grant to Papaya a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, host, store, reproduce, modify, adapt, edit, translate, distribute, syndicate, publicly perform, publicly display, transmit, communicate to the public, make available, make derivative any content you share for the purpose of participating in the WSC Tournament, including but not limited to photos, comments on social media posts etc.
Papaya is not responsible in any manner and disclaims any warranties, representations, or guarantees, express or implied, in fact or law, relating to any of the prizes, regarding the use, value or enjoyment of the prizes, including, without limitation, their quality, condition, or fitness for a purpose. The winners of the prizes hereby agree to release Papaya and its affiliates, officers, directors, employees, and agents, from any and all claims in connection with the WSC Tournament and the respective awards or use of any of the prizes.
If we become aware of any fraud, deceit, misconduct, dishonesty or similar action concerning your participation in the WSC Tournament, or if you acted in a disruptive manner or with the intent to disrupt or undermine the legitimate operation of the WSC Tournament or if you breached any of these WSC Terms, Papaya General Terms, the Privacy Policy or any additional laws, regulations and rules which apply to your use of the Services (as defined in Papaya General Terms) or your participation in any WSC Tournament, then (i) we reserve the absolute right to automatically and immediately disqualify you or invalidate your entry, and (ii) we also reserve the right to seek damages and other remedies from you to the full extent permitted by law. If fraud, deceit, misconduct, dishonesty or other action is only discovered after any applicable prize or prize(s) have been awarded to you, then you shall be required, upon demand, to return the prize to us immediately upon receipt of our demand to do so (or provide equivalent compensation).

Unless prohibited by applicable law, by entering into the WSC Tournament, you agree to release, indemnify, and hold harmless Papaya, and its respective parents, subsidiaries, affiliates, distributors, suppliers, and advertising, promotional and judging organizations and each of their respective employees, officers, directors, shareholders, and agents (collectively, the “Releasees”) from and against any and all third-party claims, actions, damages, fees, losses, liabilities, costs, expenses, injuries, or causes of action of any kind that in any way now or hereinafter may arise from or relate to the WSC Tournament and the WSC Terms, including without limitation (i) the administration of the WSC Tournament, such as typographical, printing, seeding, human or other errors relating to or in connection with the WSC Tournament, the processing of entries, the announcement of the prize or any related materials, inaccurate, fraudulent, incomplete, illegible, late, lost, stolen, misdirected, undelivered, incomplete, or damaged entries, any delays in delivery or lack of availability of the prize or prize materials; (ii) your participation in the WSC Tournament offered by Papaya or your acceptance or use of a prize, or participation in any prize related activities, including, without limitation, any travel related thereto, and death and bodily injury (including emotional distress), due in whole or in part, directly or indirectly, to participation in the WSC Tournament or any related activity and for any claims or causes of action based on publicity rights, defamation, or invasion of privacy; (iii) any error, omission, interruption, deletion, defect, or delay in operation or transmission on the Services; or (iv) liability, loss or damages arising from or in connection with participation in the WSC Tournament, the awarding, receipt, or use or misuse of any prize or participation in any prize-related activities.
By entering into the WSC Tournament, you agree to indemnify, defend and hold harmless the Releasees from and against any and all claims, expenses, and liabilities (including reasonable attorneys/legal fees) arising out of or relating to your or any other user’s participation in the WSC Tournament.
In no event will the Releasees be responsible or liable for any damages or losses of any kind, including indirect, incidental, consequential or punitive damages, other than your actual out-of-pocket expenses arising out of your participation in the WSC Tournament. Without limiting the foregoing, the Services and prizes are provided “as is” without warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties so some of the above limitations or exclusions may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
If any portion of these WSC Terms is found to be unenforceable or unlawful for any reason, including because it is found to be unconscionable, (a) the unenforceable or unlawful provision will be severed from these WSC Terms; (b) severance of the unenforceable or unlawful provision will have no impact whatsoever on the remainder of these WSC Terms; and (c) the unenforceable or unlawful provision may be revised to the extent required to render these WSC Terms enforceable or valid, and the rights and responsibilities of the parties will be interpreted and enforced accordingly, so as to preserve these WSC Terms and the intent of these WSC Terms to the fullest possible extent.
Governing law will be as detailed in Papaya General Terms.
In case of a conflict between these WSC Terms and Papaya General Terms, these WSC Terms shall prevail.
