Papaya Gaming - “Weekend Madness” Promotion Terms

SECTION 18 OF THE COMPANY’S TERMS AND CONDITIONS CONTAINS A BINDING ARBITRATION AND WAIVER OF CLASS ACTION CLAUSE. PLEASE REVIEW THAT CLAUSE CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

The followings are the terms and conditions of the Papaya Gaming Weekend Madness tournament (the "Weekend Madness Terms" and “Weekend Madness Tournament", respectively), which is sponsored by Papaya Gaming Ltd. ("Company", "us" or "we" or "our") and will be active on the Company's Solitaire Cash game (the "Game"). Participation in the Weekend Madness Tournament shall be subject to the provisions below, the Papaya Gaming Terms and Conditions ("Terms"), the General Promotion Rules ("General Promotion Rules") and the Privacy Policy ("Privacy Policy").

Capitalized terms used but not defined herein shall have the meaning given to them under the Terms and the General Promotion Rules.

General

1. The Weekend Madness Tournament shall commence on Friday, March 28, 2025, at 2:00 AM UTC and shall conclude on Monday, March 31, 2025, at 3:00 AM UTC (the “Tournament Period”). The Weekend Madness Tournament is divided into two stages, each with its own specific time frame, as specified under section 7 below. 

2. You agree that in order to participate in the Weekend Madness Tournament (including, without limitation, in order to win any reward), you will fully comply with all applicable laws, regulations, statutes, ordinances and provisions, including, without limitation, these Weekend Madness Terms, the Terms, the General Promotion Rules and the Privacy Policy. 

Eligibility

3. By participating in the Weekend Madness Tournament, you hereby represent and warrant that in addition to the general eligibility requirements in our General Promotion Rules, you: (i) are already a player within the Game; (ii) are at least 18 years old; (iii) do not reside in Connecticut, Louisiana, Michigan, or in any Prohibited Jurisdiction, as residents of these locations may not participate in the Weekend Madness Tournament; (iv) are eligible under applicable law to participate in the Weekend Madness Tournament; (v) have the full right and authority to participate in the Weekend Madness Tournament; (vi) you have reached level 8 in the applicable game; and (vii) access the Weekend Madness Tournament through the Game on your device. Players who access the Weekend Madness Tournament through any external platforms, websites, or sources other than the Game are not eligible to participate in the Weekend Madness Tournament.

4. You may not use multiple email addresses, accounts, identities or any other method in order to participate in the Weekend Madness Tournament more than once. You may not register on behalf of another person. 

5. You may be asked at any time to provide us or our designated third party with proof of your age and/or identity and/or residency, and you must, upon demand, be able to present valid documentation which may enable us to verify your age, residency and/or identity to the reasonable satisfaction of our team. If you are unable to provide satisfactory documents, we may exclude you from the Weekend Madness Tournament and may forfeit any privileges or awards that have been allocated to you without compensation of any kind. You hereby irrevocably waive any claims or rights in connection with any such exclusion and/or forfeiture.

How to Participate in the Weekend Madness Tournament; Prizes; and Selection of Winners

6. The Weekend Madness Tournament is comprised of two distinct stages, with the first stage consisting of three rounds, as described below. Participants must meet the required qualifying scores in each stage and round in order to advance to the next stage. All stages and rounds, as described below, are live, skill-based tournaments within the Game. 

7. The Weekend Madness Tournament will be displayed within the Game's lobby. 
    
   1. First Stage – "Elimination Tournaments": 

The Elimination Tournaments are divided into three rounds. Entry fees for each round will range from $2 USD to $7 USD. In each round, each player will pay an entry fee and play the Game to attempt to achieve a score that qualifies for advancement to the next round. Upon completing a round, each player will have the option to pay an additional entry fee, ranging from $2 USD to $7 USD, to attempt to achieve a higher score, regardless of whether the score(s) that the player has previously achieved would qualify for advancement to the next round. Each player is limited to five attempts per round.

1. 1. 1. "First Round": 
         1. Time Period: From Friday, March 28, 2025, at 2:00 AM (UTC) until Saturday, March 29, 2025, at 2:00 AM (UTC).
         2. Eligibility: Any player meeting the eligibility requirements, as identified in sections 3, 4 and 5 above, may play in the First Round.
         3. How to Advance: Only players who achieve a score above the designated score threshold, as shown in the First Round pop-up, will be eligible to proceed to the Second Round.
         4. Prizes: Prizes will be distributed as specified within the Game.

1. 1. 2. "Second Round": 
         2. Time Period: From Saturday, March 29, 2025, at 2:00 AM (UTC) until Sunday, March 30, 2025, at 2:00 AM (UTC).
         3. Eligibility: Only players who achieve a score above the designated score threshold, as specified in the First Round pop-up, will be eligible to proceed to the Second Round.
         4. How to Advance: Only players who are ranked in the top of the leaderboard, as specified in the Second-Round pop-up, will be eligible to receive prizes and proceed to the Third Round.
         5. Prizes: Prizes will be distributed as specified within the Game.

1. 1. 3. "Third Round": 
         3. Time Period: From Sunday, March 30, 2025, at 2:00 AM (UTC) until Sunday, March 30, 2025, at 5:00 PM (UTC).
         4. Eligibility: Only players who are ranked in the top of the leaderboard, as specified in the Second-Round pop-up, will be eligible to receive prizes and proceed to the Third Round.
         5. How to Advance: Only players who are ranked in the top of the leaderboard, as specified in the Third Round pop-up, will be eligible to receive prizes and proceed to the Final Live Event (“Madness Finals”).
         6. Prizes: Prizes will be distributed as specified within the Game. Each player who obtains a top-of-the-leaderboard rank, as identified in the Third Round pop-up, will receive a ticket to enter the Madness Finals.

1. 2. Second Stage –"Madness Finals": 

1. 1. 1. Time Period: From Sunday, March 30, 2025, at 9:00 PM (UTC) to Monday, March 31, 2025, at 3:00 AM (UTC).
      2. Eligibility: Each participant in the Madness Finals must have a ticket to participate, which can be obtained either through the Third Round of the First Stage, or as identified in sections 8 and 19 below. Each player may participate in the Madness Finals only once and is limited to the use of one Ticket. Tickets are non-transferable and cannot be reallocated or issued multiple times to the same player. 
      3. Prizes and winners: Prizes will be awarded only to the top 1,000 players of the Second Stage – Madness Finals, as follows:
         1. First Place: USD $10,000 for the player with the highest score.
         2. Second Place: USD $1,000 for the player with the second-highest score.
         3. Third Place: USD $500 for the player with the third-highest score.
         4. Fourth Place: USD $250 for the player with the fourth-highest score.
         5. Fifth Place: USD $150 for the player with the fifth-highest score.
         6. Sixth Place: USD $100 for the player with the sixth-highest score.
         7. Seventh to Tenth Places: USD $50 for the players with the seventh through tenth highest scores.
         8. Other Prizes: Additional prizes, ranging from USD $1 to USD $30, totalling approximately $3,300, will be distributed among the remaining 990 players based on their performance.

8. In addition to winning in Elimination Tournaments, additional tickets to the Madness Finals can be awarded through the "In-Game Challenge." The In-Game Challenge is a separate tournament from the Weekend Madness Tournament, which can be accessed through the lobby of the Game. To qualify, players must complete a skill-based challenge within the Game: players who clear the  designated board five times within a time frame set forth in the Game will be considered the winners.  A player may obtain a ticket through the In-Game Challenge only if the player does not qualify for the Third Round.

9. Players who fail to achieve the required score in the Elimination Tournament and to advance to the next stage or round ("Disqualified Players") will have view-only access to the Elimination Tournaments in their lobby and will no longer be allowed to participate. While disqualification prevents Disqualified Players from entering into the Madness Finals, we reserve the right to provide Disqualified Players with an opportunity to earn a ticket to the Madness Finals through additional methods and challenges, as detailed in section 8 above or section 19 below.
10. Any requests for participation that do not comply with the foregoing may be disqualified or void at our sole discretion. The Company shall not be liable for any problems that occur during the entry process, including without limitation, late, incomplete, delayed, undelivered, or misdirected entries, and shall not have any obligation to advise you of an incomplete, invalid, or undeliverable submission. No other form or method for submitting an entry will be considered unless otherwise set forth in the specific Weekend Madness Tournament description.

11. The choice of winners is final and binding, unless stated otherwise in these Weekend Madness Terms or the General Promotion Terms.

Prize Distribution and Winners' Responsibilities

12. Should you win a prize (except tickets) as part of the Weekend Madness Tournament, we will add the prize amount to your user account, within one business day from the end of the Tournament Period, unless the Company, in its sole discretion, has any reason to believe the winner is not eligible to participate in the Weekend Madness Tournament or to be awarded the prize, or unless you are one of the Top Winners (as identified in section 18 below). Tickets will be awarded at the conclusion of the Third Round of the First Stage. Top Winners will receive their prizes in accordance with section 18. 

13. You may use the prize amount to play in other competitions and tournaments immediately after the prize is added to your account. If you would like to withdraw a prize won as part of the Madness Finals, it may take up to 5 business days after your prize is loaded to your account for the prize to be made available for withdrawal. This five-day period allows us to confirm your eligibility to participate in the Weekend Madness Tournament, to verify your account registration details in accordance with our Terms, and to comply with any legal and regulatory obligations that may apply.

14. If two or more players achieve the same score in the first three places, the applicable prize will be split equally among them. 

15. We reserve the right to provide you the prize by any means, including but not limited to cash, bank transfer, PayPal wire transfer, check, etc. 

16. The winners are solely responsible for reporting and paying any and all applicable taxes related to the prizes and paying any expenses associated therewith which are not specifically provided for in the Weekend Madness Terms.

17. By participating in the Weekend Madness Tournament, you allow the Company to contact you, for the purpose of administration of the Weekend Madness Tournament and awarding of prizes. We will notify each potential winner by sending a notification through the email address or phone number (which was used to register to the Services), within seven days from the end of the Tournament Period. 

18. In addition to the terms specified above, the following terms will apply to the winners of the First, Second, and Third places in the Madness Finals ("Top Winners"):

1. 1. The Top Winners may be required to sign and return, within seven days of being notified, an affidavit/declaration of eligibility, waiver/disclaimer of liability, and publicity release (collectively, "Affidavit") in order to claim their prizes. The prize will be awarded within one business day after the submission of the Affidavit. 

1. 2.  Top Winners may be required to participate in reasonable publicity, including events taking place after the Tournament Period. By accepting a prize, you consent to a representative of the Company visiting you at your residence to create PR materials with you. This may include photographing, filming, or otherwise recording you at your residence as part of promotional content. You also agree that the Company may publish certain details about your win, including your name, username, photo, state of residence, prize, recorded materials for PR and promotional purposes related to the Weekend Madness Tournament or the Company’s legitimate interests, as well as any photographs, videos, or other recordings captured in connection with the prize. All personal data processing will be conducted in accordance with the Privacy Policy.

1. 3. We will make three attempts to contact the Top Winners within five business days from the end of the Weekend Madness Tournament. If we are unable to contact the potential winner within the specified time frame, or if such potential winner fails to sign and return the Affidavit or is otherwise disqualified or does not comply with these Weekend Madness Terms, the General Promotion Rules or the Terms, the Company may forfeit the prize and grant it to another winner. 

1. 4. The Company reserves the right to reasonably extend these terms to additional winners beyond the First, Second, and Third places at its sole discretion.

Social Media Promotion

19. In addition to the methods for obtaining tickets to the Madness Finals specified above in Sections 7 and 8, a player may obtain a ticket to the Madness Finals through the following methods ("Community Challenges"):

1. 1. "Social Media Participation": On our official Facebook pages (“Papaya Solitaire Cash” and “Papaya Solitaire Cash: Card Trading Official Group”), we will publish challenges that require your engagement, including but not limited to sharing a picture, video, or comment. The winner will be selected by a Company employee, on the date and time identified in each community challenge. Two tickets will be available through Social Media Participation challenges. 

1. 2. "VIP Participation": We will publish challenges for our VIP players in the designated VIP Facebook groups or via email. These challenges will require your engagement, including but not limited to sharing a picture, video, or comment. The winner will be selected by a Company representative on the date and time specified in each community challenge. A total of 24 tickets will be available through VIP Participation challenges.

20. In order to verify your account in Papaya's records and facilitate the delivery of the ticket to the Final Madness, we will contact the winners in the Community Challenges via private message to their Facebook account on Sunday, March 30, 2025, at 8:00 UTC. Winners must respond by Sunday, March 30, 2025, at 16:00 UTC, providing their username and phone number associated with their Papaya's account.
    Failure to respond within the specified timeframe will result in forfeiture of the ticket, and we will be unable to provide the prize.

21. By participating in the Community Challenges, you grant the Company the right to use any content you upload, including but not limited to your photos, name, videos, and comments, for reasonable marketing, promotional, or other publicity-related purposes.

Additional General Terms

22. The description of the Weekend Madness Tournament may be available within the Game or via an external document, which can be accessed during the Tournament Period through a pop-up presented to you when entering the Weekend Madness Tournament or can also be accessed from the lobby page in the Game. 

23. The Company may cancel, modify, or suspend the Weekend Madness Tournament and any of the prizes or benefits offered hereunder, including, without limitation, when required for security reasons, to comply with applicable laws or regulations, in cases of abuse, or due to circumstances beyond its control (e.g., epidemic, earthquake, strike, war, act of God, etc.), if the Weekend Madness Tournament cannot be conducted as specified.

24. The Company reserves the right to change the prizes and terms of the Weekend Madness Tournament at any time prior to the stage or round in which a prize is to be awarded, and without prior notice.

25. It is your sole responsibility to notify us in writing if you changed your email address during the Tournament Period. 

26. The Company is not responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to any of the prizes, regarding the use, value or enjoyment of the prizes, including, without limitation, their quality, condition, or fitness for a purpose. The winners of the prizes hereby agree to release the Company and its affiliates, officers, directors, employees, and agents, from any and all claims in connection with the Weekend Madness Tournament and the respective awards or use of any of the prizes. 

27.  If we become aware of any fraud, deceit, misconduct, dishonesty or similar action concerning your participation in the Weekend Madness Tournament, or if you acted in a disruptive manner or with the intent to disrupt or undermine the legitimate operation of the Weekend Madness Tournament or if you breached any of these Weekend Madness Terms, the General Promotion Rules, the Terms, the Privacy Policy and/or any additional laws, regulations and rules which apply to your use of the Services and/or your participation in any Weekend Madness Tournament, then (i) we reserve the absolute right to automatically and immediately disqualify you or invalidate your entry, and (ii) we also reserve the right to seek damages and other remedies from you to the full extent permitted by law. If fraud, deceit, misconduct, dishonesty or other action is only discovered after any applicable reward has been granted to you, then you shall be required, upon demand, to return the prize to us immediately upon receipt of our demand to do so (or provide equivalent compensation).

28. This Weekend Madness Tournament is not endorsed by, affiliated, or associated with, maintained, or sponsored by any third party. All products, services and company names referenced and/or included are the registered trademarks of their original owners. The use of any mark, name, image, or likeness is for identification and reference purposes only and does not imply any association with the trademark holder, respective individual, or brand. The Company expressly disclaims any affiliation with any third-party trademarks or rights of publicity referenced and/or included in the Weekend Madness Tournament, or related materials. The use of any mark, name, image, or likeness is not intended to mislead, confuse the customer, or infringe on the copyright, rights of publicity, or trademark of any third party. Such use in no way indicates any relationship with any third party, nor does it signify that any such third party is the source of, endorses, approves of, or sponsors the use of our Services. We make no commercial claim to the use of any copyright, rights of publicity, or trademark of any third party, or suggestion of sponsorship or endorsement, and any such use is provided for informational purposes only. 

29. To comply with applicable laws and facilitate the distribution of prizes, if you are selected as a winner, you may be required to provide certain information, including but not limited to your first name, the first letter of your last name, city and state. We may also request additional information as needed to meet legal obligations or complete the prize distribution process.

31. To obtain the first name, last initial, city and state of the winners, send a separate self-addressed, stamped envelope marked "Promotion Winners List – Weekend Madness Tournament” to us (contact details are available below). Requests for winners list must be received no later than 90 days from the Weekend Madness Tournament's end date (residents of Vermont and Washington need not include return postage). 
    
    
32. Governing law will be as detailed in our Terms.
33. In case of a conflict between these Weekend Madness Terms, the General Promotion Rules or the Terms, these Weekend Madness Terms shall prevail.
