Papaya Gaming - World Solitaire Championship – Supplemental Miami Event Terms
SECTION 18 OF THE PAPAYA GAMING TERMS OF USE (“PAPAYA GENERAL TERMS”) CONTAINS A BINDING ARBITRATION AND WAIVER OF CLASS ACTION CLAUSE, TO WHICH YOU ARE AGREEING AS PART OF THESE TERMS. PLEASE REVIEW THAT CLAUSE CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.
The following are the terms and conditions ("Miami Event Terms") of the Papaya Gaming World Solitaire Championship, applicable to the Miami Event, which is sponsored by Papaya Gaming Ltd. (“Papaya”, “us” or “we” or “our”) and will be hosted in-person in Miami, Florida, with the Miami Event Tournament (as defined under section 9.1 below) taking place using a restricted version of the Game (i.e., Papaya’s Solitaire Cash gaming app).
These Miami Event Terms are supplemental to, and form an integral part of, the Papaya Gaming - World Solitaire Championship Terms (“WSC Terms”). Participation in the Miami Event shall be subject to the provisions below, the WSC Terms, the Papaya General Terms and the Privacy Policy (“Privacy Policy”). Capitalized terms used but not defined herein shall have the meaning assigned to them in the WSC Terms or the Papaya General Terms, as applicable. In the event that there is a conflict between these Miami Event Terms and the WSC Terms or the Papaya General Terms, these Miami Event Terms shall prevail.
General
The Miami Event will take place between February 20, 2026 through February 22, 2026 (“Miami Event Period”), at the Temple House in Miami, Florida ("Miami Event Venue").
The Miami Event will be limited to approximately four hundred (400) qualifying participants, consisting of those who obtained Miami Tickets during the Qualification Tournaments, and those invited at Papaya’s discretion (collectively, “Participants” and individually “Participant”). The final number of Participants may be more or less than four hundred (400) for reasons within and beyond Papaya’s control, including, but not limited to, technical issues, eligibility verification, or travel limitations.
You agree that in order to participate in the Miami Event (including, without limitation, in order to win any reward), you will fully comply with all applicable laws, regulations, statutes, ordinances and provisions, including, without limitation, these Miami Event Terms, the WSC Terms, Papaya General Terms and the Privacy Policy.
Eligibility
By participating in the Miami Event, you represent and warrant that, in addition to meeting the general eligibility requirements under the WSC Terms and the Papaya General Terms, you will comply with the following mandatory steps, each of which forms an integral part of your eligibility to participate in the Miami Event:
4.1. Onboarding requirements: We will contact you using one or more communication methods, which may include your in-Game inbox, email (to any email address that you provided to us in registering an account for the Game), phone calls, Facebook Messenger or other available channels, to notify you of your qualification for the Miami Event and to coordinate the required onboarding steps. You will be required to respond promptly and cooperate with Papaya’s requests, including providing any necessary information, documents, or confirmations to complete the onboarding process. We will make reasonable efforts to reach out to you using the contact details associated with your account. Failure to respond or cooperate within the timeframes specified by Papaya may result in disqualification from the Miami Event and forfeiture of the Miami Ticket.
4.2. Verification requirements: You may be required to participate in a live play demo session, as part of which you will participate in a video call and share a live feed of the device with which you play the Game, while you are playing the Game; during the demo, a Papaya representative will watch your gameplay to ensure the integrity of the Miami Event. Participants failing to satisfy these requirements within the timeframes specified by Papaya, or by not meeting the verification requirements, may be disqualified from the Miami Event and forfeit any prizes and the Miami Ticket.
4.3. Affidavit of eligibility: Participants will be required, in connection with their participation in the Miami Event, to execute and return an affidavit of eligibility, waiver, or release of liability, and except where prohibited, a publicity release (collectively, “Affidavit”) within 3 days of receiving notice from Papaya. Failure to respond or execute the Affidavit within the timeframes specified by Papaya may result in disqualification from the Miami Event and forfeiture of the Miami Ticket.
4.4. Travel documentation and entry requirements: Participants who reside outside the United States shall have a valid passport for the duration of the trip, with all necessary travel documents required for entry into the United States. You bear sole responsibility for ensuring that you obtain all necessary governmental authorizations, including visas and other travel authorizations, to travel to and enter the United States, and that Papaya bears no such responsibility. You further acknowledge and agree that, if you cannot obtain the necessary visas or other travel authorizations to attend the Miami Event within the timeframe set by Papaya, that Papaya may, in its sole discretion, disqualify you from participation in the Miami Event, in which case, you shall forfeit the Miami Ticket, and Papaya shall not be responsible for any fees, costs, or damages associated with your inability to travel to, and enter, the United States for purposes of the Miami Event. You further acknowledge and agree that certain personal information required for travel arrangements, including identification and contact details, may be shared by Papaya with its designated production company or travel coordinator for the purpose of organizing your flight, accommodation, and other logistics related to the Miami Event.
4.5. Additional requirements: Participants may be required to fulfill additional reasonable conditions, as determined by Papaya at its sole discretion, to verify eligibility, support event operations, maintain the integrity of the Miami Event, and ensure compliance with applicable laws and Papaya policies. For purposes of these Miami Event Terms, maintaining the integrity of the Miami Event means ensuring that all Participants will be participating in the Miami Event Tournament fairly, honestly, and in a manner accurately reflecting the Participant’s skills and abilities. Failure to meet these additional requirements may result in disqualification from the Miami Event and forfeiture of the Miami Ticket.
Papaya reserves the right, in its sole discretion, to disqualify you from the Miami Event if you fail or refuse to meet any of the eligibility requirements, to complete or to cooperate with any of the required steps, or to provide the information requested within the timeframe communicated to you. In the event of such disqualification, you will be deemed to have forfeited the Miami Ticket, and you will not be entitled to any refund of entry fees paid for any part of the WSC Tournament, compensation for the value of the Miami Ticket or the Miami Event, or reimbursement of any other costs or expenses incurred in connection with your participation. For the avoidance of doubt, if you elect to voluntarily withdraw from the Miami Event for any reason, you shall likewise not be entitled to any replacement, compensation, refund, reimbursement, or any other remedy of any kind in connection with such withdrawal.
Travel and Accommodation
Participants’ travel to and from the Miami Event will be organized and coordinated by Papaya’s designated production company, acting on behalf of Papaya, for the purpose of arranging Participants’ flights and event logistics.
Transportation to Miami will be scheduled to ensure arrival no later than February 20, 2026, and return flights will be scheduled to depart no earlier than February 22, 2026, unless otherwise instructed by Papaya. All travel arrangements, including flight selection, routing, and timing, will depend on flight availability, scheduling constraints, and logistical considerations. Travel dates, times, and arrangements may be subject to change based on operational needs, airline scheduling, or other logistical requirements, as determined by Papaya in its sole discretion.
For each Participant, Papaya will cover the cost of round-trip, coach class domestic or international air transportation on a commercial airline from an airport near the Participant's home to Miami, ground transportation to and from the Miami Event Venue, accommodation for at least two (2) nights during the Miami Event Period at the Fontainebleau Miami Beach (check-in and room availability will be subject to the Fontainebleau Miami Beach 's standard check-in policies), and up to six (6) meals throughout the Miami Event Period. If you reside within one hundred (100) miles of Miami, Florida, Papaya may make arrangements for you to travel to Miami via an alternative form of transportation, in lieu of air transportation, which Papaya will select at its discretion. The type, standard, and location of the transportation and accommodation provided will be determined solely by Papaya. Papaya will not cover for Participants’ expenses that are not listed in this Section 8, including, but not limited to, travel insurance, expenses for any accompanying guest or companion, personal expenses, or transportation between the Participant’s home and the departure airport (or from the arrival airport back home). All such costs are the sole responsibility of the Participant.
If, for any reason, a Participant becomes unable to attend or continue participating in the Miami Event, the Participant must notify Papaya through Papaya's designated support channels and without delay, as soon as reasonably possible after becoming aware of the issue.
The Miami Event Tournament
9.1. The Miami Event Tournament will take place on February 21, 2026, and will consist of several rounds (“Miami Event Tournament"). The Miami Event Tournament will be conducted as a live, in-person event at the Miami Event Venue, with all Participants playing on mobile devices provided by Papaya, under uniform gameplay conditions. The Miami Event Tournament will be played using a restricted and limited version of the Game, configured for the Miami Event Tournament.
9.2. In each round of the Miami Event Tournament, each Participant will attempt to achieve a score or rank that qualifies for advancement to the next round. Only qualifying Participants who have achieved or surpassed the designated score or rank will continue to the next round up until the final round.
The Miami Event Tournament will consist of approximately 400 Participants.
During the first round of the Miami Event Tournament, Participants will be divided into groups. The Participants with the highest scores in their respective groups will advance to the second round.
From the second round up until the final round, Participants with either the highest scores or number of wins will advance to the next round. For each round between the first round and the final round, the number of Participants who will advance to the next round will be announced by Papaya prior to each round. Papaya may use different formats to determine how Participants will advance in each round. In all rounds Papaya will announce how gameplay will be conducted, and how Participants will advance to the following round (up to the final round), prior to the start of the round.
During the Miami Event Tournament, Papaya will award the prizes identified in Section 9.4 below.
9.3. Scoring: All rounds of the Miami Event Tournament shall be graded based on skill, in accordance with the scoring model in effect within the Game at the time of the Miami Event Tournament. The scoring model determines the points awarded or deducted for various in-Game actions (for example, stacking a card in the upper stacks, moving a card to the tableau, reshuffling the deck, and similar actions). The scoring model utilized during the Miami Event Tournament may differ in certain respects from the version available in the Game prior to the Miami Event. Any modifications shall be made to ensure fair and balanced competition under live event conditions. The final scoring model applicable to the Miami Event Tournament shall be made available to all Participants prior to the commencement of the respective rounds.
9.4. Prizes: Papaya will award a total prize pool of approximately USD $300,000 in connection with the Miami Event. The internal distribution of prizes may be modified at Papaya’s sole discretion.
Prizes will be awarded as follows (subject to adjustment, as determined and announced by Papaya):
1st Place: USD $150,000
2nd Place: USD $45,000
3rd Place: USD $22,000
4th Place: USD $16,000
5th Place: USD $13,500
6th Place: USD $10,000
7th–12th Places: USD $3,000 each
13th–25th Places: USD $1,000 each
26th–50th Places: USD $500 each
The competition between the Participants in the Miami Event Tournament will be conducted through successive elimination rounds, during which Participants’ advancement to the next round through the final round, shall be determined based on their respective scores or number of wins in each round, depending on the format used to determine advancement in the round. Following each round, only the highest-scoring Participants (or, depending on the round format, the Participants with the most wins) will progress to the next round, while others will be eliminated. This process will continue until a single champion is determined. The top fifty (50) Participants reaching the final round of the Miami Event Tournament will be eligible to receive the respective prizes in accordance with the prize distribution set forth above; these prizes will be awarded based on the Participants’ scores ranked in descending order. In the event of a tie between two or more Participants, the applicable prize shall be divided equally among the tied Participants.
Prizes awarded to the Participants in 1st through 25th place of the final round of the Miami Event Tournament will be paid by check, ACH/wire transfer, or by another payment method as determined by Papaya in its sole discretion or as mutually agreed upon by Papaya and the Participant. Prizes awarded to the Participants in 26th through 50th place of the final round of the Miami Event Tournament will be credited to the Participant’s player account on the Game.
Unless otherwise provided by law, you, not Papaya, shall be responsible and liable for all taxes on the value of any prizes received as part of the Miami Event Tournament, in addition to taxes on the value of the flights, ground transportation, other transportation, and accommodation provided for you to participate in the Miami Event Tournament.
9.5. Papaya reserves the right, at its sole discretion, to modify, update, replace, or otherwise adjust the Tournament’s structure, format, eligibility, gameplay rules, scoring, or progression mechanisms at any time, including for production, technical, or operational reasons.
Miami Event Participation, Communications and Miami Event Venue Requirements
All communications between Participants and Papaya relating to the Miami Event, both prior to and during the Miami Event, shall be conducted through Papaya's designated support channels. By participating in the Miami Event, you expressly authorize Papaya to contact you through any communication channel, including but not limited to in-Game inbox notifications, email, text messages (SMS), Facebook messages or phone calls, for the purposes of administering the Miami Event, providing updates, coordinating logistics and collecting any required information or documentation. It is your sole responsibility to notify Papaya of any change to your contact details at any time before or during the Miami Event, including the qualification, onboarding and coordination stages.
Upon arrival at the Miami Event Venue, Participants will be required to present a valid, government-issued form of identification to verify their identity and confirm their eligibility to participate.
Participants must be physically present at the Miami Event Venue throughout the Miami Event Period and are expected to follow the official event agenda. The complete agenda for the Miami Event, including detailed schedules, activity descriptions and other relevant information, will be published through Papaya’s designated communication channels. The agenda will outline all official sessions, mandatory activities, and designated free periods, and may be updated from time to time at Papaya’s sole discretion. Participants are responsible for reviewing the most recent version of the agenda prior to and during the Miami Event. Participants must remain available for all Miami Event-related activities during the Event Period, including but not limited to briefings, gameplay sessions, rehearsals, technical setups and scheduled media activities, unless otherwise instructed by Papaya.
The Miami Event will consist of several core components in addition to the Miami Event Tournament, each of which constitutes a mandatory attendance event, which will be reflected in the official agenda to be published by Papaya:
13.1. Rehearsal and technical setup: Participants will be required to attend a scheduled rehearsal and technical setup session prior to the start of gameplay. Personal mobile devices may not be used during the Miami Event Tournament, and participation will be conducted on devices provided by Papaya. Only two device types (Android or iOS) will be allocated to Participants by Papaya. A dedicated on-site technical support team will assist Participants with device setup and troubleshooting.
13.2. Round tables and feedback sessions: Participants will be required to attend scheduled round-table discussions and feedback sessions with Papaya representatives and event organizers. These sessions are intended to collect Participants’ input regarding their experience, gameplay, and operational aspects of the Miami Event. Attendance at these sessions, as reflected in the official agenda, is mandatory and considered an integral part of the Miami Event schedule.
13.3. Additional activities: Papaya may, at its discretion, organize additional social, cultural, recreational or promotional activities outside the official agenda. These activities are designed for entertainment and community-building purposes and have no connection to the Miami Event Tournament, its outcome or Participant performance. Participation in such activities is voluntary and will not affect a Participant’s standing, eligibility, or results in the Miami Event Tournament.
Participants acknowledge and agree that the Miami Event will take place in a dynamic and high-energy environment, which may include loud music, stage lighting, large display screens, video installations, photography, and live video recording for documentation and promotional purposes. Participants consent to these environmental conditions and understand that lighting, sound levels, and visual effects may vary throughout the duration of the Miami Event.
Code of Conduct
As part of the Miami Event, Participants are required to comply with all instructions given by Papaya staff, the production company staff, and any other person or entity acting on behalf of Papaya. Any inappropriate behavior, failure to follow instructions, or conduct deemed unacceptable may result in immediate removal from the Miami Event per Papaya’s sole discretion. Participants are expected to maintain professional, respectful, and appropriate behavior at all times in connection with the Miami Event, including before, during and after the Miami Event. This obligation applies to all interactions, communications and activities related to the Miami Event, whether online or offline, including participation in Papaya’s official communication channels (such as Facebook groups or community forums) and any communications with Papaya representatives, production staff or other Participants.
Papaya reserves the right, at its sole discretion, to disqualify or remove from any part of the Miami Event any Participant who (i) violates these Miami Event Terms, the WSC Terms, or Papaya’s General Terms; (ii) engages in unprofessional, disruptive, or abusive conduct that interferes with Papaya’s ability to conduct the Miami Event or compromises the fairness and legitimacy of the Miami Event; (iii) annoys, harasses, threatens or abuses any other person; or (iv) participates (or is suspected of participating) in any form of cheating, fraud, deceit, dishonesty, or other misconduct.
Any such behavior, whether occurring in person, online or through any communication medium, may result in immediate disqualification from the Miami Event, exclusion from certain activities, and other corrective measures deemed appropriate by Papaya. If discovered before a prize has been awarded, Papaya may withhold or forfeit the prize in full. If discovered after a prize has been awarded, Papaya reserves the right to revoke the prize and requires the participant to return it (or provide equivalent compensation) immediately upon request.
Participants are strictly prohibited from recording, uploading, distributing, disclosing or otherwise publishing any video, audio, photographs, or written information from or about the Miami Event Tournament, including without limitation, any information relating to gameplay outcomes or the identity of winners, until after the official TV broadcast of the Miami Event has first aired. Participants may be required to surrender and/or leave outside the Miami Event Venue any personal recording devices, including without limitation mobile phones, cameras, or other electronic equipment, as directed by Papaya staff. Any breach of this obligation may result in immediate disqualification from the Miami Event Tournament, including and without limitation the forfeiture of any prizes. You acknowledge and agree that, if you breach the confidentiality obligation described in this Section 18, Papaya may not only disqualify you from the Miami Event Tournament (causing you to forfeit any prizes won), but also require you to repay Papaya for all costs paid by Papaya for your participation in the Miami Event under Section 8 above.
Publicity and Content
By participating in the Miami Event, you acknowledge and agree that the entire Miami Event, including all rounds, activities and surrounding events, may be filmed, photographed or otherwise recorded by or on behalf of Papaya or any of its representatives and suppliers - for promotional purposes. This includes continuous recording throughout the Miami Event, as well as the possibility of being featured in interviews, highlight segments or other related media materials. You may also be required to participate in publicity activities taking place before, during or after the Miami Event Period. You consent to a representative of Papaya contacting you or visiting you at your residence to create promotional or PR content, which may include filming, photography or other recordings.
You further agree that Papaya may publish certain details about your participation in any aspect of the WSC Tournament, including the Miami Event, or the prize(s) that you win as part of the Miami Event, including your name, username, photo, state and/or country of residence, prize, and any recorded materials captured in connection with the Miami Event, for PR, marketing and other legitimate business purposes.
By participating in the Miami Event, you represent and warrant that you own, and you hereby grant to Papaya, all rights necessary to provide Papaya with a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, host, store, reproduce, modify, adapt, edit, translate, distribute, publicly perform, publicly display, transmit, communicate to the public, make available, and create derivative works from any content, materials or recordings connected to your participation in the Miami Event. This includes, without limitation, any photos, videos, audio recordings, livestreams, comments on social-media posts, statements, or other materials created by you, Papaya, or third parties that depict or feature you in connection with the Miami Event. Such materials may be used for promotional, advertising, editorial, or other lawful purposes, in any media or format now known or later developed, without further notice, approval, or compensation, unless prohibited by applicable law.
All personal data processing will be conducted in accordance with Papaya’s Privacy Policy.
Additional General Terms
- To the extent not already provided above, and for avoidance of doubt, Papaya reserves the right to modify, suspend, or cancel the Miami Terms or the Miami Event (or any aspect thereof) at Papaya’s sole discretion, and at any time, with or without prior notice. This includes, but is not limited to, the rules, structure, event logistics, or prize amounts associated with the Miami Event. Papaya will make reasonable efforts to notify Participants of any material changes prior to the start of the Miami Event.
As further detailed in the WSC Terms, Papaya is not responsible in any manner and disclaims any warranties, representations, or guarantees, express or implied, in fact or in law, relating to the Miami Event, including without limitation any prizes, travel arrangements, accommodations, activities, or experiences associated with the Miami Event. This includes, without limitation, any representations regarding the quality, condition, safety, suitability, or fitness for a particular purpose of any aspect of the Miami Event or any related benefit.
24.1. You agree to release, indemnify, and hold harmless the Releasees (as defined in the WSC Terms) from and against any and all claims, liabilities, damages, fees, costs, losses, or expenses arising out of or related to your participation in the Miami Event, the WSC Tournament or any related activities. The Releasees shall not be liable for any indirect, incidental, consequential, or punitive damages of any kind. All aspects of the Miami Event are provided "as is", without warranties of any kind, except as required by applicable law.
24.2. You acknowledge and agree that there are foreseeable and unforeseeable risks and hazards directly or indirectly involved in your participation in the Miami Event, that Papaya has no control over such dangers, and that Papaya makes no representations of safety. You also acknowledge that you have full knowledge of the facts and circumstances associated with your participation in the Miami Event. If you choose to participate in the Miami Event, you voluntarily assume all responsibility and risk associated with your participation in the Miami Event, including, but not limited to, all risk of loss of life, physical or emotional injury, serious illness arising from (exacerbated by) your participation in the Miami Event, accidents, property damage, injury to others, and other hazards.
24.3. You acknowledge and agree that Papaya assumes no liability whatsoever for personal injuries or property damage to Participants or to third parties arising out of participation in the Miami Event. You represent that you will have adequate liability, health, travel, and/or accident insurance, or other means necessary, to pay for any medical costs or personal liability.
25. If any portion of these Miami Event Terms is found to be unenforceable or unlawful for any reason, including because it is found to be unconscionable, (a) the unenforceable or unlawful provision will be severed from these Miami Event Terms; (b) severance of the unenforceable or unlawful provision will have no impact whatsoever on the remainder of these Miami Event Terms; and (c) the unenforceable or unlawful provision may be revised to the extent required to render these Miami Event Terms enforceable or valid, and the rights and responsibilities of the parties will be interpreted and enforced accordingly, so as to preserve these Miami Event Terms and the intent of these Miami Event Terms to the fullest possible extent.
