Papaya Gaming – “Gift Factory Draw” Promotion Terms
SECTION 18 OF PAPAYA’S TERMS AND CONDITIONS CONTAINS A BINDING ARBITRATION AND WAIVER OF CLASS ACTION CLAUSE, TO WHICH YOU ARE AGREEING AS PART OF THESE TERMS. PLEASE REVIEW THAT CLAUSE CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS. NO PURCHASE NECESSARY TO ENTER OR CLAIM PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.
The followings are the terms and conditions of the Papaya Gaming Gift Factory Draw Promotion (the “Gift Factory Draw Promotion", and "Gift Factory Draw Promotion Terms"), which is sponsored by Papaya Gaming Ltd. ("Papaya", "us" or "we" or "our") and will be active on Papaya's game Bubble Cash (the "Game"). Participation in the Gift Factory Draw Promotion shall be subject to the provisions below, the Papaya Terms and Conditions ("Terms"), the General Promotion Rules ("General Promotion Rules") and the Privacy Policy ("Privacy Policy").
Capitalized terms used but not defined herein shall have the meaning given to them under the Terms and the General Promotion Rules.
General
1. The Gift Factory Draw Promotion shall commence on Friday, November 28, 2025, at 12:00 AM UTC and shall conclude on Wednesday, December 3, 2025, at 12:00 AM UTC (the “Promotion Period”). Time may change and will be presented in the Game.
2. You agree that in order to participate in the Gift Factory Draw Promotion (including, without limitation, in order to win any reward), you will fully comply with all applicable laws, regulations, statutes, ordinances and provisions, including, without limitation, these Gift Factory Draw Promotion Terms, the Terms, the General Promotion Rules and the Privacy Policy.
Eligibility
3. By participating in the Gift Factory Draw Promotion, you hereby represent and warrant that in addition to the general eligibility requirements in our General Promotion Rules and the Terms, you: (i) have a registered account within the Game; (ii) are at least 18 years old; (iii) are participating in the Gift Factory Draw Promotion only from within the United States, but not from the following states: Arizona, Connecticut, Louisiana, Michigan, as participation is not permitted from these locations; (iv) are eligible under applicable law to participate in the Gift Factory Draw Promotion; (v) have the full right and authority to participate in the Gift Factory Draw Promotion; (vi) you have reached level 8 in the Game; and (vii) will access the Gift Factory Draw Promotion through the Game on your device. Players who access the Gift Factory Draw Promotion through any external platforms, websites, or sources other than the Game are not eligible to participate in the Gift Factory Draw Promotion.
4. You may be asked at any time to provide us or our designated third party with proof of your age, identity, residency, or any other eligibility requirement, including, where applicable, proof of source of funds, and you must, upon our request, be able to present valid documentation which may enable us to verify the requirements to our reasonable satisfaction. If you are unable to provide satisfactory documents, we may exclude you from the Gift Factory Draw Promotion and may forfeit any privileges or awards that have been allocated to you without compensation of any kind. You hereby irrevocably waive any claims or rights in connection with any such exclusion or forfeiture.
5. If you do not meet the eligibility requirements above, your entry to the Gift Factory Draw Promotion shall be void. You may not use multiple email addresses, accounts, identities or any other method in order to participate in the Gift Factory Draw Promotion more than once. You may not register on behalf of another person.
How to Participate in the Gift Factory Draw Promotion; Prizes; and Selection of Winners
6. The Promotion consists of a draw. Players will be entitled to one (1) ticket to participate in the Gift Factory Draw Promotion for each USD of paid entry fee, within the Promotion Period, as a result of participation in a tournament within the Game. Tickets may be displayed in a different currency than your local one. One ticket will be equivalent to 1 USD in your local currency based on the exchange rate in effect at the time of processing, which may include mark-ups and may differ from the rate in effect when the reward was earned. All amounts paid will be rounded up to the next whole number for the purpose of ticket entitlement. For clarity, tickets will be displayed as “balloons” each represents a draw tickets earned.
7. Amounts paid prior to the Promotion Period will not entitle participants for draw tickets.
8. You may also enter into the Gift Factory Draw Promotion by contacting Papaya during the Promotion Period via the email address detailed below. The subject of the email must include "Free participation request - Gift Factory Draw Promotion". The email must contain your username, phone number, email address and date of birth. Provided that such valid email (i) is associated with your account registered to our Game, and (ii) is received by us during the applicable Promotion Period, each valid email received will allow you to receive one (1) ticket into the Gift Factory Draw Promotion.
9. Any requests for participation that do not comply with the foregoing may be disqualified or void at our sole discretion. Papaya shall not be liable for any problems that occur during the entry process, including without limitation, late, incomplete, delayed, undelivered, or misdirected entries, and shall not have any obligation to advise you of an incomplete, invalid, or undeliverable submission. No other form or method for submitting an entry will be considered, unless otherwise set forth in the Gift Factory Draw Promotion Terms.
10. Winners will be selected by a fair draw no later than December 10th, 2025 (“Draw Date”). The odds of winning are based on the number of eligible entries. The winners will be drawn at random from all valid entries by an automated computer system.
11. The choice of winners is final and binding, unless stated otherwise in these Gift Factory Draw Promotion Terms or the General Promotion Rules.
Prize Distribution and Winners' Responsibilities
12. Players can receive more than one (1) ticket to participate in a draw; however they will be eligible to win only one (1) prize, which will be the first one won.
13. The awarded prizes will be as follows:
· First Place: One (1) iPhone 17, 6.3" 256GB, (in the value of $799 USD, as available here https://www.apple.com/shop/buy-iphone/iphone-17), and One (1) Air Pods 4 (in the value of $129 USD, as available here: https://www.apple.com/shop/buy-airpods/airpods-4).
· Second Place: One (1) Sony PlayStation®5 Digital Edition Console 825GB, (in the value of $449 USD, as available here: https://direct.playstation.com/en-us/buy-consoles/playstation5-digital-edition-console-825-gb)
· Third Place: One (1) Apple Watch Series 11 Aluminum 42mm GPS (in the value of $399 USD, as available here: https://www.apple.com/shop/buy-watch/apple-watch).
14. The winners are solely responsible for reporting and paying any and all applicable taxes related to the prizes and paying any expenses associated therewith which are not specifically provided for in the Gift Factory Draw Promotion Terms. Prizes may be subject to withholding tax or any other applicable taxes, as required by applicable law.
15. By participating in the Gift Factory Draw Promotion, you allow Papaya to contact you through any communication channel, including but not limited to the in-Game inbox, email, phone or social media, for the purpose of administration of the Gift Factory Draw Promotion and awarding of prizes and collecting any necessary information and documentation as part of the Gift Factory Draw Promotion.
16. We will make three (3) attempts to contact the potential winners within five (5) business days from the Draw Date. If we are unable to contact the potential winner within the specified time frame, or if such potential winner fails to sign and return the Affidavit (as defined below) or is otherwise disqualified or does not comply with these Gift Factory Draw Promotion Terms, the General Promotion Rules or the Terms, Papaya may forfeit the prize and grant it to another winner.
17. The winners may be required to sign and return, within five (5) days of being notified, an affidavit/declaration of eligibility, waiver/disclaimer of liability, and publicity release (collectively, "Affidavit") in order to claim their prizes.
18. Prizes will be awarded to winners within ten (10) business days from Papaya receiving the written Affidavit and winner's full details (as required to provide the prize), unless Papaya, in its sole discretion, has any reason to believe the winner is not eligible to participate in the Gift Factory Draw Promotion or to be awarded the prize or did not comply with the requirements of the Gift Factory Draw Promotion Terms.
19. Winners may be required to participate in publicity, including after the Gift Factory Draw Promotion. By accepting any prize, you consent to a representative of Papaya contacting you or visiting you at your residence to create publicity and promotional materials with you. This may include photographing, filming, or otherwise recording you at your residence as part of promotional content. You also agree that Papaya may publish certain details about your win, including your name, username, photo, state of residence, prize, and other recorded materials for publicity and promotional purposes related to the Gift Factory Draw Promotion or Papaya’s legitimate interests, as well as any photographs, videos, or other recordings captured in connection with the awarding of the prize. All personal data processing will be conducted in accordance with the Privacy Policy.
Additional General Terms
20. Unless prohibited by applicable law, Papaya reserves the right to: (i) modify, alter, or change the Gift Factory Draw Promotion Terms, regulations, and prize amounts of the Gift Factory Draw Promotion; (ii) modify, alter, change or cancel the Gift Factory Draw Promotion, or any part thereof, at any time in its sole discretion, with or without prior notice. Notwithstanding the above, Papaya will make reasonable efforts (to the extent possible) to notify you of any changes to the Gift Factory Draw Promotion or the Gift Factory Draw Promotion Terms prior to the beginning of the Promotion Period. You acknowledge that you shall be responsible for staying up to date with any and all changes made to the Gift Factory Draw Promotion Terms or the Gift Factory Draw Promotion. In the event of modification, your continued participation in the Gift Factory Draw Promotion constitutes acceptance of the modified Gift Factory Draw Promotion or Gift Factory Draw Promotion Terms.
21. It is your sole responsibility to notify us in writing if you changed your contact information during the Promotion Period.
22. Papaya is not responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to any of the prizes, regarding the use, value or enjoyment of the prizes, including, without limitation, their quality, condition, or fitness for a purpose. The winners of the prizes hereby agree to release Papaya and its affiliates, officers, directors, employees, and agents, from any and all claims in connection with the Gift Factory Draw Promotion and the respective prizes and their use.
23. If we become aware of any fraud, deceit, misconduct, dishonesty or similar action concerning your participation in the Gift Factory Draw Promotion, or if you acted in a disruptive, unsportsmanlike, or abusive manner or with the intent to disrupt or undermine the legitimate operation of the Gift Factory Draw Promotion or if you breached any of these Gift Factory Draw Promotion Terms, the General Promotion Rules, the Terms, or any additional laws, regulations and rules which apply to your use of the Game or Services or your participation in the Gift Factory Draw Promotion, then (i) we reserve the absolute right to automatically and immediately disqualify you or invalidate your entry, and (ii) we also reserve the right to seek damages and other remedies from you to the full extent permitted by law. If fraud, deceit, misconduct, dishonesty or other action is only discovered after any applicable prize has been granted to you, then you shall be required, upon demand, to return the prize to us immediately upon receipt of our demand to do so (or, if no feasible, provide equivalent compensation).
24. All products, services and company names referenced or included are the registered trademarks of their original owners. The use of any mark, name, image, or likeness is for identification and reference purposes only and does not imply any association with the trademark holder, respective individual, or brand. Papaya expressly disclaims any affiliation with any third-party trademarks or rights of publicity referenced or included on Gift Factory Draw Promotion, or related materials. The use of any mark, name, image, or likeness is not intended to mislead, confuse the customer, or infringe on the copyright, rights of publicity, or trademark of any third party. Such use in no way indicates any relationship with any third party, nor does it signify that any such third party is the source of, endorses, approves of, or sponsors the use of our Services. We make no commercial claim to the use of any copyright, rights of publicity, or trademark of any third party, or suggestion of sponsorship or endorsement, and any such use is provided for informational purposes only.
25. To comply with applicable laws and facilitate the distribution of prizes, you may be subject to additional verification or administrative requirement, as determined by Papaya at its sole discretion, and such as to provide certain information, including but not limited to your first name, the first letter of your last name, city and state. We may also request additional information as needed to meet legal obligations, ensure the integrity of the Gift Factory Draw Promotion or complete the prize distribution process. You also agree that we may provide the information and documentation you give us, pursuant to this section, to the appropriate tax authorities. If you fair to satisfy these requirements whiting the timeframes specific by us, or if we determine, in our sole discretion, that the information and documentation you provided to us is incomplete, false, or inaccurate, we may withhold the distribution of your prize until you have provided us with the necessary information or documentation to our satisfaction and we reserve the right to disqualify you from the Gift Factory Draw Promotion, which will result in your prize being forfeited with no compensation.
26. To obtain the first name, last name, city and state of the winners, send a separate self-addressed, stamped envelope marked “Winners List – Gift Factory Draw Promotion” to us (at 106 West 32nd street, FL 2 New York, NY 10001). Requests for winners list must be received no later than 90 days from the Gift Factory Draw Promotion’s Draw Date (residents of Vermont and Washington need not include return postage).
27. Governing law will be as detailed in our Terms.
28. In case of a conflict between these Gift Factory Draw Promotion Terms, the General Promotion Rules or the Terms, the order of precedence shall be in the order they are written: (i) Gift Factory Draw Promotion; (ii) General Promotion Rules; and (iii) Terms.
29. If any portion of these Gift Factory Draw Promotion Terms is found to be unenforceable or unlawful for any reason, including because it is found to be unconscionable, (a) the unenforceable or unlawful provision will be severed from these Gift Factory Draw Promotion Terms; (b) severance of the unenforceable or unlawful provision will have no impact whatsoever on the remainder of these Gift Factory Draw Promotion Terms; and (c) the unenforceable or unlawful provision may be revised to the extent required to render these Gift Factory Draw Promotion Terms enforceable or valid, and the rights and responsibilities of the parties will be interpreted and enforced accordingly, so as to preserve these Gift Factory Draw Promotion Terms and the intent of these Gift Factory Draw Promotion Terms to the fullest possible extent.
